1. Acceptance of Terms

- By accessing or using AppDrift, you agree to be bound by these Terms
- If you disagree with any part, you may not access the service
- These terms apply to all visitors, users, and customers
- You must be at least 13 years old to use this service
Account Registration

- You are responsible for maintaining account security
- One person or legal entity per account unless agreed otherwise
- You must notify us immediately of any unauthorized access

- Batch updates for multiple locales

Service Availability
- Services provided 'as is' and 'as available'
- We strive for 99.9% uptime but don't guarantee it
- Scheduled maintenance with advance notice when possible
- Features may be modified or discontinued with notice
3. Usage Rights and Restrictions
Permitted Use
- Use services for lawful business purposes
- Access via authorized interfaces and APIs
- Store and process your app data
- Integrate with your development workflow
Prohibited Activities

4. Intellectual Property

Your Property
- You retain all rights to your app content
- App metadata, descriptions, and screenshots remain yours
- We don't claim ownership of your translations
- You grant us license to process and display your content
License Grant
- You grant us a worldwide, non-exclusive license to use your content
- Limited to providing services and improving our platform
- License terminates when you delete content or close account
- Anonymized data may be retained for analytics
5. Payment Terms
Subscription Plans
- Monthly or annual subscription options available
- Credit-based system for pay-as-you-go features
- Automatic renewal unless cancelled
- Price changes with 30-day advance notice
Billing
- Payment processed by Stripe (PCI compliant)
- Billing occurs at the beginning of each period
- Failed payments may result in service suspension
- No refunds for partial periods or unused credits
Credits
- Credits expire after 12 months if unused
- Credits are non-transferable between accounts
- No cash value or refunds for credits
- Promotional credits subject to additional terms
6. API Terms
API Usage
- Rate limits apply based on subscription tier
- API keys must be kept secure and confidential
- No sharing API keys between applications
- We may throttle or suspend abusive usage
API Changes

- Deprecated endpoints supported for 6 months minimum

No Warranties

- No guarantee of uninterrupted or error-free service
- Translation quality dependent on input and context
- Not responsible for app store approval or rejection
Limitation of Liability
- Not liable for indirect or consequential damages
- Total liability limited to fees paid in last 12 months
- Not responsible for lost profits or data
- Force majeure events excuse performance
9. Indemnification
Your Indemnification
- You'll defend us against claims arising from your use
- Includes your content, apps, and violations of terms
- Covers legal fees and damages we incur
- We'll notify you promptly of any claims
10. Termination
Termination by You
- Cancel subscription anytime from account settings
- Request account deletion via support
- Export your data before termination
- No refunds for current billing period
Termination by Us
- We may terminate for terms violations
- Immediate termination for severe violations
- 30-day notice for convenience termination
- Data available for export for 30 days post-termination
11. Governing Law
Governing Law
- These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States
- For transactions processed through our payment partners, the laws of the State of New York may additionally apply
- The UN Convention on Contracts for the International Sale of Goods shall not apply
- English language governs interpretation of these Terms
Arbitration Agreement
- These Terms involve interstate commerce and are governed by the Federal Arbitration Act (9 USC § 1-16)
- Any dispute shall be resolved through binding arbitration administered by JAMS in New York, New York
- Arbitration shall be conducted by a single arbitrator under JAMS Streamlined Rules
- The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction
- If the Federal Arbitration Act and state law conflict, the Federal Arbitration Act shall control
Exclusive Jurisdiction and Venue
- AppDrift LLC is a Wyoming limited liability company
- Any legal action, proceeding, claim, or matter of any kind arising from or relating to these Terms must be brought exclusively in New York County, New York
- You irrevocably submit to the exclusive personal jurisdiction of state and federal courts located in New York, New York for all legal matters
- You waive any objection to venue, personal jurisdiction, or claim of inconvenient forum in New York courts
- You waive any right to a jury trial in any proceeding
- You waive any right to participate in class actions, class arbitrations, or representative proceedings
12. Changes to Terms
Modifications
- We may update terms at any time
- Material changes notified via email
- 30-day notice for significant changes
- Continued use constitutes acceptance
13. Miscellaneous
General Provisions
- Entire agreement between parties
- No waiver unless in writing
- Severability of provisions
- No assignment without consent
